Terms of Service

These Terms of Service (“Terms”) govern your access to and use of nxyz sources at sources.nxyz.art (the “Service”), operated by nxyz (“we,” “us,” “nxyz”). By creating an account or using the Service, you agree to these Terms. If you don’t agree, don’t use the Service.

1. The Service

nxyz sources is a personal knowledge vault: you save notes, web pages, PDFs, images, audio, and video, and the Service extracts, summarizes, embeds, and indexes that content so you can search and ask questions over it, including via an AI-assisted canvas (“Boards”).

2. Accounts

You must provide a valid email address to create an account and are responsible for keeping your credentials secure and for all activity under your account. You must be at least 16 years old to use the Service.

3. Subscriptions, billing & Paddle

Some features require a paid subscription. All purchases are made through our online reseller and merchant of record, Paddle.com Market Ltd (“Paddle”). Paddle is responsible for processing payments, issuing invoices/receipts, calculating and remitting applicable sales tax/VAT, and handling related customer service for billing matters. Your subscription will automatically renew at the end of each billing period (monthly or annual, as selected) until you cancel.

You can manage or cancel your subscription at any time from Settings → Plan & billing, which opens Paddle’s secure customer portal. Cancelling stops future renewals; you retain access to paid features through the end of the period you already paid for.

4. Free plan & trials

We offer a free plan with reduced usage limits. Where a free trial of a paid plan is offered at checkout, the specific terms (duration, whether a card is required) are shown at the time of signup and govern that trial.

5. Acceptable use

You agree not to:

• Use the Service to store or distribute content that is illegal, infringing, or that you don’t have the right to store;
• Attempt to gain unauthorized access to other accounts, the Service’s infrastructure, or interfere with its normal operation;
• Use the Service to build a competing product by systematically extracting or scraping its functionality;
• Abuse rate limits, attempt to circumvent usage quotas, or use the Service in a way that imposes an unreasonable load on shared infrastructure.

6. Your content

You retain all ownership rights to the content you save to your vault (“Your Content”). You grant us a limited license to store, process, transmit, and display Your Content solely as needed to operate and improve the Service for you — for example, extracting text, generating embeddings and summaries, and rendering it back to you. We do not claim ownership of Your Content and do not use it to train AI models. You are responsible for having the rights to save and process anything you add to your vault.

7. AI features

AI-generated summaries, answers, and other outputs are produced by third-party language models (see our Privacy Policy for the list of providers) and may contain inaccuracies. AI output is provided for your convenience and should not be relied on as the sole source of truth for important decisions.

8. Intellectual property

The Service itself — its software, design, and branding — is owned by nxyz and protected by intellectual property laws. These Terms don’t grant you any rights to our trademarks or branding beyond what’s needed to use the Service as intended.

9. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you materially breach these Terms, including the acceptable-use rules above, after reasonable notice where practical. Upon termination, your right to use the Service ends; Section 6 (content ownership) and the data-retention terms in our Privacy Policy continue to apply to any export/deletion rights you have already exercised.

10. Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee the Service will be uninterrupted, error-free, or that AI-generated content will be accurate.

11. Limitation of liability

To the maximum extent permitted by law, nxyz will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, revenue, or profits, arising from your use of the Service. Our total liability for any claim relating to the Service is limited to the amount you paid us in the 12 months before the claim arose.

12. Changes to these Terms

We may update these Terms from time to time. We’ll update the “Last updated” date above, and for material changes, we’ll make reasonable efforts to notify you directly. Continuing to use the Service after changes take effect means you accept the updated Terms.

13. Governing law

These Terms are governed by the laws of [Your jurisdiction — to be confirmed], without regard to conflict-of-law principles.
